Left Hook, Inc. (“Left Hook,” “we,” “us,” or “our”) reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to keep your account information up to date.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify Left Hook immediately of any unauthorized use of your account. Left Hook will not be liable for any loss or damage arising from your failure to protect your account credentials.
You may not create an account for anyone other than yourself without that person’s permission. You may not use another person’s account without their permission.
Left Hook provides a B2B SaaS integration platform that enables businesses to connect third-party applications, manage integration workflows, access APIs, and utilize AI-powered assistance features (including our AI assistant, Lia). The Service is designed for business use and is intended to be used by authorized representatives of business entities.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page or in an executed order form. All fees are quoted in U.S. dollars unless otherwise specified.
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize Left Hook to charge your designated payment method for all fees incurred. If your payment method fails, we reserve the right to suspend your access to the Service until payment is received.
Left Hook reserves the right to change subscription fees upon 30 days’ prior notice. Fee changes will take effect at the start of the next billing cycle following the notice. All fees are non-refundable unless otherwise specified in an applicable order form or required by law.
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Left Hook, Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You retain all rights to any data, content, or materials you submit, post, or display on or through the Service (“Your Content”). By submitting Your Content to the Service, you grant Left Hook a worldwide, non-exclusive, royalty-free license to use, process, and display Your Content solely as necessary to provide and improve the Service.
Left Hook does not claim ownership of Your Content. You are solely responsible for Your Content and the consequences of sharing it through the Service.
Left Hook takes the security and privacy of your data seriously. Our collection, use, and handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
When you connect third-party services through the platform, data may be transmitted between those services as directed by your integration configurations. You are responsible for ensuring that your use of integrations complies with the terms and policies of those third-party services, as well as applicable data protection laws.
Left Hook may process data using AI-powered features, including our AI assistant Lia, to provide insights, recommendations, and troubleshooting assistance. We do not use your proprietary business data to train general-purpose AI models.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEFT HOOK, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL LEFT HOOK’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNT YOU PAID LEFT HOOK, IF ANY, IN THE PAST TWELVE (12) MONTHS FOR THE SERVICE GIVING RISE TO THE LIABILITY.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You may terminate your account at any time by contacting us or through the account settings in the Service. Upon termination, your right to use the Service will immediately cease.
Left Hook may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, we may delete your account and all associated data, subject to our data retention obligations and our Privacy Policy.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction and venue in such courts.
